Please read these Terms of Service carefully before subscribing to or using the Establio platform. By accessing the platform, you agree to be bound by these terms. If you have any questions, contact us at legal@establio.com.

1. Acceptance of Terms

By accessing or using the Establio platform ("the Platform", "we", "us", or "our"), including signing up for a subscription or using any Establio-powered website as an end user, you agree to be bound by these Terms of Service.

If you are accepting on behalf of an institution or organisation, you represent that you have the authority to bind that entity to these terms. If you do not agree, do not use the platform.

2. Service Description

Establio provides a multi-tenant SaaS platform that enables institutions — including schools, coaching centres, clinics, NGOs, and other organisations ("Tenants") — to create and manage professional websites and admin panels.

Services include subdomain hosting, content management, staff and student administration tools, parent/student portals, enquiry management, and related features as described on our website.

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice to active Tenants.

3. Subscriptions & Payment

Access to the platform is provided on a subscription basis. Subscription plans and pricing are available at establio.com/pricing or communicated directly by our team.

Subscription fees are billed in advance on the agreed billing cycle. All fees are non-refundable except as required by applicable law or as expressly stated in your subscription agreement.

We reserve the right to suspend access to a Tenant's account if payment is overdue by more than 14 days after the due date.

Plan upgrades take effect immediately; downgrades take effect at the start of the next billing cycle.

4. Acceptable Use

You agree to use the platform only for lawful purposes and in accordance with these terms. You must not:

• Upload or distribute unlawful, defamatory, harassing, or harmful content.

• Attempt to gain unauthorised access to any part of the platform or other Tenants' data.

• Use the platform to send unsolicited communications (spam).

• Reverse-engineer, decompile, or attempt to extract source code from the platform.

• Resell, sublicense, or provide access to the platform to third parties without our written consent.

We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.

5. Intellectual Property

Establio retains all rights, title, and interest in and to the platform, including all software, design systems, APIs, and underlying technology.

Tenants retain all rights to the content they upload to the platform — including logos, text, images, and institutional data. You grant Establio a limited, non-exclusive licence to host, display, and process your content solely for the purpose of providing the service.

The Establio name, logo, and brand assets are trademarks of Establio. You may not use them without our written permission.

6. Data & Privacy

Tenants own all data they upload or manage through the platform, including institutional data and end user records (students, staff, parents).

We process end user data on behalf of Tenants as a data processor. Our Privacy Policy governs how we collect and handle data.

You are responsible for ensuring that your collection and use of end user data through the platform complies with applicable data protection laws and that you have obtained all necessary consents from your users.

Upon termination, we will provide a data export upon request and permanently delete your data within 30 days, unless legally required to retain it.

7. Confidentiality

Each party agrees to keep confidential the other party's non-public information, including pricing terms, platform internals, and business information.

Confidential information does not include information that is publicly available, already known to the recipient, or independently developed without reference to the confidential information.

8. Availability & Uptime

We strive to maintain high platform availability. Planned maintenance will be communicated in advance where possible.

We do not warrant uninterrupted or error-free operation of the platform. Temporary outages due to maintenance, infrastructure issues, or circumstances beyond our control do not constitute a breach of these terms.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Establio shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, revenue, or business — arising from your use of the platform.

Our total aggregate liability to you for any claims arising under these terms shall not exceed the amount paid by you for the service in the three months preceding the claim.

10. Termination

Either party may terminate the subscription at any time with 30 days' written notice.

We may suspend or terminate access immediately if you violate these terms, fail to pay outstanding fees, or engage in conduct that harms the platform or other users.

Upon termination, your right to access the platform ceases. Data export requests must be submitted before or within 30 days of termination.

11. Governing Law

These Terms of Service are governed by the laws of India. Any disputes arising from the use of the platform shall be subject to the jurisdiction of courts in India.

We will make reasonable efforts to resolve disputes amicably before initiating formal proceedings.

12. Modifications to Terms

We may update these Terms of Service from time to time. We will notify active Tenants of material changes by email or in-platform notice at least 14 days before changes take effect.

Continued use of the platform after the effective date of any changes constitutes your acceptance of the updated terms.
